Important Legal Notice
By using our accounting and tax services, you agree to be bound by these terms of service. Please read them carefully. These terms constitute a legal contract between you (the client) and Alexandre Martel CPA (the provider).
The CLIENT acknowledges having read, understood and accepted these terms and conditions when consent is given through any of the following means: (i) checking the acceptance box on the SUPPLIER's website; (ii) signing a quote; or (iii) accepting a quote in writing, including by email. The SUPPLIER reserves the right to modify these terms at any time without notice. The current version is always available on the SUPPLIER's website, and it is the CLIENT's responsibility to review it before any new collaboration. No individual notification will be sent in case of updates.
Tax Returns
This submission aims to clearly explain the nature of my role as preparer of your personal income tax returns and to indicate the responsibilities that fall upon you as a client each year.
1. Preparer's Role
- I will not conduct an audit or review nor take any other steps to verify the accuracy and completeness of the information provided. It is your responsibility to provide me with accurate and complete information necessary for preparing the tax returns in question.
- Your personal income tax returns will include the following statement: "Prepared without verification of client data". My name will appear as the preparer of your tax returns.
2. Client's Role
- Under the Income Tax Act and the Tax Act, you are responsible for the accuracy of the information and the completeness of the returns contained in your tax filings. You declare that the information provided to me is, to your knowledge, accurate and complete, and that it will fully satisfy all requirements of the returns to which you are subject under the Income Tax Act and the Tax Act.
- You confirm that you will provide me with all information relating to income and deductions to be included in your tax returns, and that this information will be accurate and complete. You confirm that all income sources will be reported, that all deducted expenses were incurred to earn income, and that all claimed credits will be supported by receipts.
- All schedules relating to business income (including commission income, farming income, and professional income), as well as rental income will present operating results and include all transactions conducted.
- All employment income and resulting benefits will be reported, whether or not they appear on the "T4" and "Relevé 1" information slips.
- All investment income (with or without receipts) will be reported, whether or not they appear on the "T3" and "Relevé 16", and "T5" and "Relevé 3" information slips.
- All capital dispositions and related costs will be reported.
- All estimates concerning personal use of an automobile, the portion of the residence used for business purposes, and other similar estimates you provide will be reasonable and supported by usage records and other evidence.
- If at any time during the year you owned property outside Canada with a total cost exceeding $100,000, you may need to report this in your federal tax return. Severe interest and penalties apply in cases of non-compliance. If this applies to you, you will provide me with accurate and complete information regarding the specified foreign property you owned or in which you held a beneficial interest in accordance with the Foreign Income Verification Statement ("T1135") and will fully disclose related foreign-source income and any realized gains.
- If you are eligible for the solidarity tax credit, you will confirm that the information provided in Schedule "D" is accurate and reflects your situation as of December 31 of the year.
- You will disclose to me any illegal or potentially illegal acts and related facts.
- I recommend that you provide me with copies of all communications you receive from the Canada Revenue Agency and Revenu Québec as soon as you receive them. There are often deadlines, and if they are not met, notices of proposed assessment or reassessment may be issued, or you may lose the right to contest.
3. Fees
Once your tax returns are duly completed or when I have provided you with advice or other services on related matters, I will issue you a fee statement based on my standard billing rates revised annually. It is agreed that this statement will be paid upon receipt.
Fees do not include correction requests or representations to governments, which will, if needed, be billed separately at the hourly tax rate.
If you have any questions regarding the content of this submission, do not hesitate to contact me. If the described services meet your needs and if the aforementioned terms are acceptable to you, please sign the work order before I begin the engagement.
The services outlined in this submission correspond to what you expect. The terms stated above are acceptable to you, and you approve them by signing the work order.
Mediation
1. Purpose of Mediation
The purpose of mediation is to enable the parties to reach an agreement regarding the dispute between them. To this end, the parties agree as follows.
2. Voluntary Process
- The parties understand that mediation is a completely voluntary process and that each party may withdraw and unilaterally terminate it at their sole discretion. Each party freely consents to participate in mediation, actively, positively, and with mutual respect.
- The parties agree to suspend their small claims court proceedings until an agreement is reached or until one of the parties or the mediator declares the mediation terminated.
- It is agreed that either party, as well as the mediator, may terminate the mediation at any time. The parties retain and reserve their right to access the courts.
- The parties commit to voluntarily disclosing, upon request, all relevant financial or other information and to provide any documents necessary for the proper conduct of the mediation process and the drafting of an informed, fair, and equitable agreement for all.
3. Impartiality of the Mediator
The parties acknowledge that the mediator is an impartial third party who does not represent either party.
4. Independent Legal Opinion
- The parties acknowledge that the mediator will not provide them with an independent legal opinion regarding their respective rights and obligations under the laws of Quebec or any other jurisdiction. However, the mediator may objectively inform the parties about legal aspects concerning them.
- The parties also acknowledge that they have both been encouraged by the mediator to obtain an independent legal opinion as soon as they feel the need, particularly before concluding and signing an agreement.
- If one or both parties do not obtain an independent legal opinion before signing an agreement, they agree not to hold the mediator liable for any clause of said agreement concluded under such circumstances.
5. Confidentiality and Non-Disclosure
Anything said or written during the mediation process is made without prejudice and is inadmissible as evidence in any judicial or other proceedings.
The mediator, the parties, their advisors, their representatives, and any accompanying persons must respect and maintain the confidentiality of the entire mediation process. However, nothing in this agreement shall compromise in any way the right of a party who has received a disclosed document to use it in judicial or other proceedings if that party would otherwise have had the right to do so.
The parties waive the right to subpoena the mediator or otherwise compel them to testify in any subsequent dispute between them.
6. Private Sessions or Caucuses
The mediator may, when deemed useful, hold private sessions (caucuses) with either party, who may also request a private and confidential discussion with the mediator at any time. It is agreed that information disclosed to the mediator during a caucus is confidential unless the concerned party authorizes its disclosure.
7. Fees
- When the case is referred by the small claims mediation service, the number of hours payable by the Ministry of Justice is THREE (3) hours, including off-session work if applicable.
- The parties may agree to continue mediation beyond the three (3) subsidized hours at the prescribed rate of $300 per hour plus applicable taxes, shared equally between them.
8. Final Provisions
- This agreement is governed by the laws of the Province of Quebec.
- The clauses and stipulations of this agreement are independent of each other, and the invalidity, unenforceability, or amendment of one shall not affect the validity of the others.
- Each party and the mediator acknowledge having read this agreement, agree to proceed according to the terms defined above, and acknowledge having received a signed copy of the order form.
- This agreement is confidential.
Given the use of technological means to conduct mediation, by signing the submission, the mediator confirms having validly obtained the consent of the claimant and the defendant.
Internal Financial Statements and Tax Returns or Amendments
This submission aims to confirm the terms of the engagement you have entrusted to me for the provision of accounting services and to describe the nature and scope of the services I commit to providing under this engagement each year.
1. Responsibility
I will carry out my engagement on the basis that you acknowledge and understand the following responsibilities:
- You will provide me with all the information I require.
- You will ensure the accuracy and completeness of the information provided. The services provided under this engagement are not intended to detect fraud or errors.
- You will review and approve all journal entries, transaction classifications, and account codes prepared or modified as proposed by me.
My engagement does not include the preparation of external financial statements or the filing of tax returns. If you wish to entrust me with either of these tasks, I will need to undertake a separate engagement.
2. Services Offered
Without limiting the scope of services I will provide, I will prepare internal financial statements each year.
3. Access to Information
To perform my engagement, I must have access to certain personal information. By this agreement, you acknowledge having obtained all necessary consents under applicable privacy legislation to collect, use, and disclose personal information to me. I will treat all personal information in accordance with my privacy policy.
4. Professional Fees
Professional fees are established annually according to the fee schedule and financial terms in effect.
Fees do not include correction requests or representations to governments, which will, if necessary, be billed separately at the hourly tax rate.
I will also bill you for all disbursements incurred by the engagement.
5. Conditions
The terms of this submission supersede and replace any prior statements or commitments, whether verbal or written, by or between the parties. Any significant changes or additions to the terms set forth in this submission will only take effect if evidenced by a written amendment to this submission, signed by all parties. At the end of this engagement, I will present you with an invoice for all previously unbilled fees and expenses. You hereby agree to pay this invoice upon receipt.
I am at your complete disposal to discuss the content of this submission and to provide any explanations you may require. If the terms outlined above are acceptable to you and if the described services align with your expectations, please indicate your agreement by signing the order form before I begin the engagement.

Compilation Engagements - Historical
1. Objective and Scope of the Compilation Engagement
You have requested that I assist you in preparing, from information you will provide, the compiled financial information of the entity, which includes the balance sheet, the statement of income and retained earnings for the fiscal year ended on that date, and Note 1, which describes the accounting method to be applied in the preparation of the compiled financial information each year.
2. Intended Use of the Compiled Financial Information
The financial information is intended to be used by the entity's management and by third parties, namely current or potential lenders, for borrowing purposes. Third parties are in a position to request and obtain additional information from the entity.
I am pleased to confirm hereby my acceptance and understanding of this compilation engagement.
3. Responsibilities of the Practicing Professional
I will perform the compilation engagement in accordance with Canadian Standard on Related Services (CSRS) 4200, Compilation Engagements, which requires me to comply with relevant ethical rules.
A compilation engagement involves me assisting you in preparing the compiled financial information. Since a compilation engagement is not an assurance engagement, I am not required to implement procedures to verify the accuracy and completeness of the information you provide for this engagement. Consequently, I will not express an audit opinion or a review engagement conclusion regarding the compiled financial information, nor will I provide any form of assurance on it.
My engagement does not include bookkeeping services or the preparation of tax returns. If you wish to entrust me with either of these tasks, I will need to undertake a separate engagement.
4. Management's Responsibilities
The performance of the compilation engagement is based on the assumption that you acknowledge:
- that third parties who intend to use the compiled financial information are in a position to request and obtain additional information from the entity;
- that a compilation engagement is appropriate for the intended use;
- that you understand a compilation engagement does not satisfy any legal, regulatory, or contractual requirements that would call for an audit or review engagement;
- that you understand the compiled financial information should not be used by third parties other than those who are in a position to request and obtain additional information from the entity or who have agreed with you on the accounting method applied in the preparation of the compiled financial information.
Furthermore, you acknowledge that you assume responsibility for:
- the compiled financial information;
- selecting, for the preparation of the compiled financial information, the accounting method appropriate for the intended use;
- the accuracy and completeness of the information you provide to me;
- attaching the compilation engagement report to the compiled financial information when they are distributed or reproduced.
5. Access to Information
To perform my engagement, I must have access to certain personal information. By this, you acknowledge having obtained all necessary consents under applicable privacy legislation to collect, use, and disclose personal information to me. I will treat all personal information in accordance with my privacy statement.
6. Professional Fees
Professional fees are established annually based on the current fee schedule and financial terms.
Fees do not include correction requests or representations to governments, which will, if necessary, be billed separately at the hourly tax rate.
I will also bill you for all disbursements incurred as a result of the engagement.
7. Terms and Conditions
The terms of this proposal supersede and replace any prior statements or commitments, whether verbal or written, by or between the parties. Any significant changes or additions to the terms recorded in this proposal will only take effect if evidenced by a written amendment to this proposal, signed by all parties. At the end of this engagement, I will present you with an invoice for all previously unbilled fees and expenses. You hereby agree to settle this invoice upon receipt.
8. Report
Unless unforeseen difficulties arise, my report will essentially read as follows:
COMPILATION ENGAGEMENT REPORT
To the management of the entity
I have compiled, from information provided by management, the entity's balance sheet as of the financial year-end date, the statement of income and retained earnings for the fiscal year ended on that date, and Note 1, which describes the accounting method applied in the preparation of the compiled financial information (the "financial information").
Management is responsible for the accompanying financial information, including the accuracy and completeness of the underlying information used in its compilation, and for the selection of the accounting method.
I have performed the engagement in accordance with Canadian Standard on Related Services (CSRS) 4200, Compilation Engagements, which requires me to comply with relevant ethical rules. My responsibility is to assist management in preparing the financial information.
I have not performed an audit or review engagement and was not required to implement procedures to verify the accuracy and completeness of the information provided by management. Consequently, I do not express an audit opinion or a review engagement conclusion, nor do I provide any form of assurance regarding the financial information.
Readers should be aware that the financial information may not be suitable for their needs.
I am at your complete disposal to discuss the content of this proposal and to provide any explanations you may deem necessary. Compilation Engagements - Financial Forecasts
Following our discussion, I wish to summarize below my understanding of the terms and conditions of the compilation engagement for the entity's financial forecasts, which will consist of a balance sheet as of the financial year-end date and statements of income, retained earnings, and cash flows for the period ending on that date. It is understood that these financial statements and the report I will produce regarding them will be used for general or specific purposes.
1. My Responsibilities
I will perform the compilation and produce my report in accordance with the relevant guidance set out in the CPA Canada Handbook – Assurance. The compilation will involve formatting the financial forecasts based on management's assumptions and implementing limited procedures, which will primarily consist of me asking questions about the information provided and checking whether the preparation of the financial forecasts appears to deviate significantly from the standards on financial forecasts set out in the CPA Canada Handbook – Accounting.
Due to the limited nature of my involvement, I will not express an opinion or any other form of assurance regarding the financial forecasts or the assumptions. Furthermore, since the financial forecasts are based on assumptions about future events, actual results will differ from the information presented, and the differences could be significant. I am not responsible for updating my report to reflect events or circumstances occurring after its date.
2. Report Wording
I anticipate that my report will be worded as follows:
READER'S REPORT ON THE COMPILATION OF FINANCIAL FORECASTS
I have compiled the financial forecasts of the entity, which consist of a balance sheet as of the financial year-end date and statements of income, retained earnings, and cash flows for the period ending on that date, based on the assumptions dated 20XX-XX-XX and other information provided by management. My engagement was performed in accordance with the relevant guidance on the compilation of financial forecasts set out in the CPA Canada Handbook – Assurance.
The compilation is limited to presenting, in the form of financial forecasts, the information provided by management and does not include an assessment of the support for the assumptions and other information underlying the forecasts. Consequently, I do not express an opinion or any other form of assurance regarding the financial forecasts or the assumptions. Furthermore, since these financial forecasts are based on assumptions about future events, actual results will differ from the information presented, and the differences could be significant. I am not responsible for updating this report to reflect events or circumstances occurring after its date.
3. Management's Responsibilities
The forecasts will be based on assumptions that management deems appropriate, i.e., reasonable and justifiable assumptions that reflect the most probable economic conditions and courses of action. If I discover that the provided assumptions are inappropriate and are not revised to my satisfaction, I will be unable to complete my engagement and, consequently, will not produce a report regarding the forecasts. The entity agrees that the objective is to prepare the financial forecasts in accordance with applicable Canadian accounting standards. The entity, its officers, and its directors are solely responsible for the assumptions and the forecasts.
The forecasts will be prepared in accordance with Canadian accounting standards for private enterprises (or Canadian accounting standards for not-for-profit organizations) and will follow the methods (or conventions) the entity intends to use for the historical annual financial statements for the period covered by the forecasts. Unless otherwise indicated, these methods (or conventions) will be the same as those used in preparing the historical financial statements as of the financial year-end date.
It is understood that, as part of my engagement, I will have access, to the extent I deem necessary, to the entity's records and accounts and to external sources of information used by management in developing the assumptions (e.g., external specialists consulted by the entity). It is also understood that each page of the financial forecasts will prominently display the statement "Unaudited — See Reader's Report." Before I issue my report on the compilation of the entity's financial forecasts, management will provide me with an appropriate representation letter.
4. Confidentiality
Confidentiality regarding client matters is a fundamental principle of the profession. The professional accountant is bound by professional secrecy regarding confidential information obtained in the course of their work. Consequently, I will not disclose to third parties any confidential information concerning the entity's affairs unless:
- I have received express authorization to do so with the entity's prior consent;
- I am required or expressly authorized by law or by the rules or Code of Ethics;
- the requested information is or becomes public.
It is understood that I will have access to all personal information under your custody that I need to perform my engagement. My services are provided subject to:
- a statement from you that management has obtained all required consents regarding the collection and use of personal information, as well as the disclosure of such information to me, in accordance with applicable privacy legislation;
- my holding all personal information in accordance with my privacy policy.
5. Use and Distribution of My Report
The financial forecasts I will compile and the report titled "Reader's Report" that I will issue are intended solely for the use of the persons I have specifically identified. I make no representation of any kind to any third party regarding these financial forecasts.
6. Working Papers
Working papers, files, and other documents, reports, and work created, designed, or performed as part of my engagement are my property, constitute confidential information, and will be retained by me in accordance with my policies and procedures.
7. Applicable Laws
This proposal is subject to the laws of the province of Quebec. The province of Quebec will have exclusive jurisdiction over any complaints, disputes, or disagreements concerning this proposal and any matters arising from it. Each party irrevocably waives any right to object to an action being brought before these courts, to allege that the proceedings were not brought in the appropriate forum, or to allege that these courts lack jurisdiction.
8. Dispute Resolution
You agree:
- that before being submitted to a court, any dispute arising regarding the nature, performance, or implementation of this engagement will be subject to a mediation process;
- to participate in good faith in this mediation process once one of the parties to the engagement has submitted a written request for mediation.
Any mediation undertaken following this engagement will be administered in the province of Quebec, in accordance with its mediation rules, and any subsequent judicial proceedings will be conducted in this province, in accordance with its laws. Decisions resulting from mediation will only be enforceable if each party agrees to comply with them. The cost of mediation proceedings will be shared equally by the parties involved.
9. Timelines
I will make all reasonable efforts to complete the engagement under the terms outlined in this proposal and within the agreed timelines. The agreed timelines and dates are available in the client portal.
However, I cannot be held responsible for failures or delays arising from causes beyond my control, including the entity's failure to meet its obligations in a timely manner.
10. Fees at Standard Hourly Rates
Professional fees are established annually based on the applicable fee schedule and financial terms in effect.
My professional fees will be determined based on my standard hourly rates, plus any miscellaneous expenses incurred and applicable GST and QST, and will be payable upon receipt of the invoice. Fees for other services will be determined separately.
If the number of hours required appears to be greater than initially estimated, I will discuss this with you to establish a new estimate before incurring additional costs.
My fees, which I bill as the work progresses, will be payable upon receipt of the invoice.
11. Billing
My fees and costs will be billed monthly and will be payable upon receipt of the invoice. Unpaid invoices after 30 days from the billing date may be considered overdue and will be subject to compound interest charges at the prescribed rate set by the Canada Revenue Agency for the current quarter.
I reserve the right to suspend my services or resign if any of my invoices are deemed overdue. If I must take steps to recover outstanding balances, you agree to reimburse me for any recovery costs incurred, including legal fees, if applicable.
12. Termination of Engagement
Management acknowledges and understands that failure to meet its obligations under this proposal will result, following written notice from me, in the termination of the engagement.
Either party may terminate this agreement for any reason by providing written notice to the other party. In the event of early termination, the entity will be responsible for the time and expenses incurred up to the termination date.
13. Conclusion
This proposal includes the relevant terms and conditions that will apply to the engagement for which it was prepared. The terms and conditions of this proposal supersede and replace any prior statements or commitments, whether verbal or written, between the parties. Any significant changes or additions to the terms and conditions outlined in this proposal will only take effect if documented in a written amendment to this proposal, signed by all parties.
I am available to discuss the contents of this proposal and to provide any necessary clarifications. If the terms outlined above are acceptable to you and the described services align with your expectations, please confirm your agreement by signing the purchase order before I commence the engagement.
The services outlined in this proposal meet your expectations. You agree to and approve the terms outlined above by signing the purchase order.
Financial Terms
1. Billing Frequency and Payment Terms
- For services with a fixed pricing, upon completion of the work, either after the completion of tax returns or reports and upon request for incorporation or upon receipt of an invoice for expenses.
- For services with an hourly pricing, weekly, for hours worked during the week.
- The invoice is payable upon receipt in all cases.
- Interest will begin to accrue from the invoice date if payment is not made within 30 days.
- In case of default, interest is compounded monthly at the prescribed interest rate by the Canada Revenue Agency for the current quarter.
- I reserve the right to suspend my services or resign if any of my invoices are deemed overdue.
- In the event that I must take measures to recover outstanding balances owed to me, you agree to reimburse me for any expenses incurred in connection with such recovery, including legal fees, if applicable.

Bookkeeping

I will perform bookkeeping so that your books are in good order. Specifically, I will maintain the general ledger, accounts receivable ledger, accounts payable ledger, and payroll ledger:
By frequency:
- Source Deductions: Submit source deduction remittances online in my business account with the Canada Revenue Agency (CRA) and Revenu Québec (RQ).
- Sales Taxes: Submit sales tax returns in my business account with the CRA and RQ.
- Employment Records: Submit Records of Employment in my business account with Service Canada.
Monthly:
- Record bank transactions from the bank statements and deposit slips you provide.
- Record sales and taxes collected from the invoices you prepare.
- Record any other transactions from the information you provide.
- Update the general ledger, accounts receivable ledger, accounts payable ledger, and payroll ledger.
- Reconcile designated accounts.
Annually:
- Reconcile balance sheet items and sub-ledgers
- Perform adjusting entries
- Prepare T4, T5, Relevé 1, and Relevé 3 slips and summaries
- Prepare the CNESST report
- Propose a budget for common expenses
Access to Information
To perform my engagement, I must have access to certain personal information. By signing this, you acknowledge that you have obtained all necessary consents under applicable privacy legislation to collect, use, and disclose personal information to me. I will handle all personal information in accordance with my privacy statement.
Professional Fees
Professional fees are established annually based on the current fee schedule and financial terms.
Fees do not include correction requests or representations to governments, which will, if necessary, be billed separately at the tax hourly rate.
I will also bill you for any disbursements incurred as part of the engagement.
